1. About these terms
These terms and conditions apply to your use of this website and to the services provided by MPA Digital (“we”, “us”, “our”), an independent digital marketing company based in Preston, Lancashire, established in 2014. By using this website or engaging us to provide services, you (“you”, “the client”) agree to these terms. If a written quote, proposal or agreement we issue contains terms that differ from these, the terms in that document will apply to that project.
2. Our services
We provide website design, website redesign, WordPress development, website maintenance and search engine optimisation (SEO) and related digital marketing services. The scope of each project, including deliverables, features and any exclusions, will be set out in our quote or proposal.
3. Quotes, proposals and orders
Our quotes and proposals are provided free of charge and without obligation. Unless stated otherwise, a quote is valid for 30 days from the date it is issued. A contract between you and us is formed when you accept our quote or proposal in writing (including by email) and we confirm that we will proceed. Requests that go beyond the agreed scope may be subject to additional charges, which we will agree with you before starting the work.
4. Fees and payment
Our fees, any deposit or stage payments and payment dates will be set out in the quote or proposal. Unless we say otherwise, prices are quoted in pounds sterling and are exclusive of VAT, which will be added where applicable. We may charge interest and reasonable recovery costs on overdue invoices as permitted by the Late Payment of Commercial Debts (Interest) Act 1998. We may pause work or suspend services while any invoice remains unpaid.
5. Your responsibilities
To allow us to deliver your project effectively, you agree to:
- provide the information, text, images, logos, access details and feedback we reasonably need, in good time;
- make sure you own, or have permission to use, all content you supply to us, and that it does not infringe anyone else’s rights or break the law; and
- respond to requests for approval promptly.
Delays in providing information or approvals may affect the project timetable and cost.
6. Project timescales
Any dates or timescales we give are estimates and are not guaranteed, as they depend on factors such as prompt feedback and content from you. We will always work to agreed timescales where we can and will keep you informed of any delays.
7. Intellectual property
Once you have paid for the work in full, you own the rights to the bespoke design and the content created specifically for you, other than third-party materials. Until payment is made in full, we retain ownership of all work produced. Third-party materials, such as themes, plugins, fonts, stock images and software, remain subject to their own licences, and you may be required to pay for or renew these. We retain the right to use general know-how, techniques and ideas developed during a project, and, unless you ask us not to in writing, to show the finished project in our portfolio and marketing.
8. SEO and marketing results
We use our experience and professional skill to improve your online visibility. However, search engines such as Google control their own rankings and change their algorithms regularly. We therefore cannot guarantee specific rankings, traffic levels, enquiries or sales.
9. Website maintenance and support
Where we provide website maintenance or support, the services included, such as updates, backups, security monitoring and support, will be described in your quote or agreement. Maintenance does not include major redesign or new functionality unless agreed. We take reasonable care to keep your website secure and up to date but cannot guarantee that it will be free from faults, interruptions or security incidents.
10. Third-party services and software
Your website may rely on third-party services, including domain registrars, hosting providers, plugins, themes and other software. We are not responsible for the performance, availability, pricing or terms of services we do not control. Where we arrange third-party services on your behalf, you agree to the provider’s terms of use.
11. Using this website
You may use this website for lawful purposes only. All content on this website, including text, graphics, logos and design, belongs to MPA Digital or its licensors and must not be copied, reproduced or reused without our permission. We try to keep the information on this website accurate and up to date, but we make no promise that it is complete or error-free. Links to other websites are provided for convenience, and we are not responsible for their content.
12. Limitation of liability
Nothing in these terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot lawfully be limited or excluded. Subject to this, we are not liable for any indirect or consequential loss, or for loss of profit, revenue, business, data or goodwill, and our total liability to you in connection with any project will not exceed the fees you have paid to us for that project.
13. Cancellation and termination
Either party may end a project or ongoing service by giving written notice. If you cancel, you will pay for the work completed up to the date of cancellation, together with any non-refundable third-party costs we have incurred. We may end our services immediately if you materially breach these terms, including by failing to pay an invoice when due. Any ongoing maintenance or support arrangement will continue for the period stated in your agreement unless terminated in line with it.
14. Privacy
We handle your personal information in accordance with our Privacy Policy.
15. Governing law
These terms, and any dispute arising from them or from our services, are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction. We may update these terms from time to time, and the version on this website applies from the date it is published.
